Terms and Conditions

1. Agreement to these terms

By creating an xRLive account, downloading or using the xRLive application, or buying any paid plan, you agree to these terms. If you do not agree, do not use the Services.

If you are accepting on behalf of a company, studio, venue or other organisation, you confirm you have authority to bind it, and you in these terms means that organisation.

Our Privacy Policy explains how we handle personal information and forms part of this agreement.

xRLive builds a real-time generative visuals engine for live events. You can reach us at:

3. The Services

The Services consist of:

• The xRLive desktop application for macOS and Windows — an editor and runtime for real-time generative visuals, with timelines, presets, audio and camera reactivity, and output to displays, NDI and video files.
• Your xRLive account — sign-in, plan entitlements and AI credit balance.
• Optional AI features — the in-app AI assistant and AI Render, which run on third-party AI models through our servers.
• Our websites and documentation.

The core editor is free to use. Some capabilities require a paid plan, as described in §8.

4. Your account

• You must be at least 16 years old (18 if you are buying a paid plan) and legally able to enter into this agreement.
• Give accurate account information and keep it current. You are responsible for everything that happens under your account.
• Keep your credentials confidential. Tell us promptly at admin@xrlive.tv if you believe your account has been compromised.
• Accounts are for one person or one organisation. Do not share credentials to let others use a paid entitlement they have not bought.

5. Licence to use the software

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the xRLive application for your own creative, commercial or internal business purposes, including on paid client work and at live events you produce.

You may not:

• Resell, sublicense, rent, lease or distribute the application itself, or offer it as a hosted service to third parties.
• Reverse engineer, decompile or disassemble the application, except to the extent that applicable law expressly permits it despite this restriction.
• Circumvent, disable or interfere with licensing, entitlement or metering — including tampering with credit balances, plan checks or the local entitlement record.
• Remove or obscure any proprietary notices, or use our name, logo or marks except as §13 allows.
• Use the Services to build a competing product, or to benchmark them for a competitor, without our written consent.

We may release updates, and some updates are required for the Services to keep working. The application checks for updates automatically; you can decline an update, but we do not support outdated versions indefinitely.

6. Your content and your work

You own your work. Projects, visuals, presets, timelines, imported assets and rendered output you create with xRLive are yours. We claim no ownership of them, and they are stored on your own computer — we do not host or sync them.

When you use an AI feature, you send us the specific content that feature needs. You grant us a limited licence to process, transmit and store that content only as far as necessary to run the feature, return the result to you, meter it and support you. That licence ends when the processing does. We do not use your content to train our own models, and we do not publish it or sell it.

You are responsible for having the rights to everything you bring into a project — images, video, audio, fonts, 3D models, logos, brand assets and music. Clearing performance, synchronisation and trademark rights for a live show is your responsibility, not ours.

7. AI features

• AI features are optional. The editor works without them. They only run when you invoke them.
• Output is generated, not guaranteed. AI models are probabilistic. Output may be inaccurate, unsuitable, or resemble other output produced for other users from similar prompts. Review anything you intend to put on a screen in front of an audience.
• Third-party models process your request. Prompts, attachments and reference frames are sent to the AI providers listed in our Privacy Policy. Your use of AI features is also subject to those providers' acceptable-use policies.
• Rights in AI output. As between you and us, output generated for you is yours to use. We make no warranty that AI output is free of third-party rights, or that it qualifies for copyright protection in your jurisdiction.
• You must not submit content you have no right to use, or use AI features to create material that is unlawful, infringing, deceptive, or that depicts a real person in a manner they have not consented to.
• AI features consume credits. Credits are metered per call, based on the model used and the size of the request. Balances and consumption are shown in the app.

8. Plans, credits and billing

8.1 Free and paid

The xRLive editor and control surface are free. Certain outputs and capacities require a paid plan. The current plans, their prices, what each includes, and any usage limits are shown in the application and on the checkout page at the time of purchase, and those are the terms that apply to your purchase.

At the date of these terms we offer:

• Pro — a monthly subscription that unlocks the paid capabilities and includes a monthly allowance of AI credits. Unused included credits roll over while the subscription stays active.
• Show Pass — a one-time purchase that unlocks the paid capabilities for a limited, continuous window (72 hours at the date of these terms) and includes a one-time allowance of AI credits. The window starts when you first use the pass, not when you buy it, and it then runs continuously to expiry — including through periods when you are not using the application.
• Credit top-ups — one-time credit packs for AI features, which do not themselves unlock paid capabilities.

We may add, rename, re-price or retire plans. Changes to the recurring price of an existing subscription take effect only at your next renewal, and we will tell you before that renewal so you can cancel if you prefer.

8.2 Payment

Payments are processed by Stripe. We do not receive or store your card details. You authorise us, through Stripe, to charge your payment method for the plan you select, including applicable taxes. If a charge fails, we may retry it and may suspend paid capabilities until payment succeeds.

8.3 Auto-renewal

Subscriptions renew automatically each period at the then-current price until you cancel. You can cancel at any time from your account or by emailing admin@xrlive.tv. One-time purchases such as a Show Pass or a credit pack do not renew.

8.4 Credits

• Credits pay for AI feature usage only. They have no cash value and are not transferable.
• Purchased credits do not expire while your account is open. Included credits granted with a plan follow that plan — Pro allowances roll over while the subscription is active; one-time allowances remain until spent.
• If a request fails through our fault, tell us and we will restore the credits it consumed.

8.5 Taxes

Prices are exclusive of sales tax, VAT and similar taxes unless stated otherwise. Applicable taxes are calculated and shown at checkout based on your billing location.

9. Refunds and cancellation

Our policy, in plain terms:

• Subscriptions. Cancel at any time. Cancellation stops the next renewal; you keep paid access until the end of the period you have already paid for. We do not give partial refunds for an unused part of a period.
• Show Pass. Refundable in full while it is still unused. Once its window has started, it is non-refundable, because the entitlement it pays for has been delivered.
• Credits. Credits already spent are non-refundable — we have paid the AI provider for that work. An unused credit balance may be refunded at our discretion if you ask within 14 days of purchase.
• Something went wrong? If a purchase did not deliver what it promised, email admin@xrlive.tv within 14 days and we will put it right — refund, credit restoration or a replacement entitlement.

Consumers in the EEA and UK. You normally have 14 days to withdraw from a purchase of digital content. By buying and immediately accessing a plan, pass or credit pack, you ask us to start supplying it at once and acknowledge that you lose that withdrawal right once supply has begun. Nothing in this section limits your statutory rights where the product is faulty or not as described.

Please contact us before opening a card dispute — a chargeback raised without contacting us first may result in your account being suspended while it is resolved.

10. Acceptable use

You agree not to use the Services to:

• Break the law, or infringe anyone's intellectual property, privacy or publicity rights.
• Produce or display material that is unlawful, harassing, hateful, defamatory, or that sexualises minors.
• Attack, overload, probe or gain unauthorised access to the Services or the systems of our providers, or to any other system.
• Resell or redistribute AI capacity — for example, exposing our AI gateway to third parties, or automating it beyond ordinary in-app use.
• Misrepresent your identity, or impersonate a person or organisation.

We may investigate suspected misuse and may suspend or terminate access for a serious or repeated breach. Where it is reasonable to do so, we will warn you first.

11. Third-party services and components

The Services rely on third parties, including Stripe for payments and the AI providers listed in our Privacy Policy. Your use of those features is also subject to the relevant provider's terms. We are not responsible for third-party services we do not control.

The application includes open-source components under their own licences, which continue to apply and which prevail over these terms for those components.

NDI® is a registered trademark of Vizrt NDI AB. Use of NDI functionality may require installing NDI runtime components supplied by Vizrt under Vizrt's own licence terms, which you must accept separately. Other product names and marks belong to their respective owners.

12. Availability, changes and beta features

We aim to keep the Services available and working, but we do not promise uninterrupted or error-free operation. We may change, suspend or discontinue any part of the Services. If we discontinue a paid capability you are currently paying for, we will give reasonable notice and refund the unused portion of a prepaid period.

Features labelled beta, preview or experimental are provided for evaluation, may change or be withdrawn, and should not be relied on for a production show.

13. Our intellectual property

The xRLive application, websites, documentation, design, and the xRLive name and logo are owned by us and protected by intellectual property law. Apart from the licence in §5, no rights are granted to you.

You may state that a show was produced using xRLive, and use our name and logo in credits and case studies for that purpose, provided you do not imply endorsement or partnership.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

14. Disclaimers

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have rights that these terms cannot limit.

15. Limitation of liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for a consumer's non-excludable statutory rights.

16. Indemnity

You agree to indemnify and hold harmless xRLive and its people from any claim, damage, loss or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the Services, the content you bring into or produce with them, or your infringement of someone else's rights. This does not apply where the claim arises from our own breach or negligence.

17. Termination

You may stop using the Services at any time and ask us to close your account by emailing admin@xrlive.tv.

We may suspend or terminate your access if you materially breach these terms, if we are required to by law, or if continuing would create a security or legal risk. Except where the breach is serious or repeated, we will give you notice and a chance to fix it.

On termination, your licence in §5 ends, unused credits and entitlements lapse without refund unless we terminated without cause, and §§6, 13, 14, 15, 16, 19 and 20 survive. Your projects and rendered files stay on your computer and remain yours — closing an account does not delete your work.

18. Changes to these terms

We may update these terms as the Services evolve. We will change the Last updated date above and, where the change materially affects your rights or obligations, give you advance notice by email or in the application. Continuing to use the Services after a change takes effect means you accept the updated terms; if you do not accept them, stop using the Services and cancel any subscription.

19. Governing law and disputes

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The courts located in Orange County, Florida have exclusive jurisdiction over any dispute, and you and we consent to that venue.

If you are a consumer resident in the EEA or the UK, this does not deprive you of the protection of the mandatory laws of your country of residence, and you may bring proceedings in your local courts.

Talk to us first. Before starting formal proceedings, email admin@xrlive.tv with the details. Most problems are cheaper and faster to fix directly.

20. General

• Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about the Services and replace any earlier understanding.
• Severability. If any provision is held unenforceable, the rest stays in force and the provision is applied to the maximum extent permitted.
• No waiver. Not enforcing a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
• Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control.
• No agency. These terms do not create a partnership, joint venture or employment relationship.
